1. General Provisions

1.1. This Public Offer Agreement (hereinafter — “Agreement”) is an official and public offer made by Choper Construction (hereinafter — “Contractor,” “Company,” or “Choper”) to any individual or legal entity (hereinafter — “Client” or “User”) to enter into an agreement for the provision of construction-related services, design consulting, and other activities presented on the website.

1.2. This Agreement is a public offer in accordance with generally accepted international e-commerce principles. Acceptance of this offer (hereinafter — “Acceptance”) means full and unconditional consent of the Client to all terms and conditions of this Agreement, without any exceptions or limitations.

1.3. The current version of the Agreement is permanently available on the website and may be updated by Choper without prior notice. The Client is responsible for reviewing the Agreement before using the Company’s services.


2. Subject of the Agreement

2.1. The Contractor undertakes to provide professional construction, renovation, project management, and related consulting services as described on the website, and the Client agrees to pay for and accept these services in accordance with this Agreement.

2.2. The list, scope, and description of specific services are determined by the information provided on the website or as agreed upon in written or electronic correspondence between the Client and Choper.

2.3. All services are provided remotely (online) through the website, communication tools, or in-person as agreed individually.


3. Procedure for Service Provision

3.1. The Client submits a service request through the website contact form, email, or by phone.

3.2. The Contractor reviews the request, clarifies project details, and provides a quotation or service proposal.

3.3. Upon the Client’s confirmation (Acceptance), the Contractor proceeds with the agreed work schedule and scope.

3.4. Communication, document exchange, and service delivery may be conducted via electronic means (email, website form, or other digital platforms).

3.5. The Contractor has the right to engage third-party specialists or subcontractors for partial or full execution of services, while remaining responsible for the final result.


4. Service Fees and Payment Procedure

4.1. Service costs are determined individually based on the type, volume, and complexity of the requested work.

4.2. Prices and payment terms are provided in the quotation or commercial offer sent to the Client’s email or other communication channel.

4.3. Payment is made via the methods specified on the website or in the issued invoice.

4.4. The Contractor reserves the right to request an advance payment before starting work.

4.5. The Client’s payment constitutes acceptance of the service terms and confirmation of the Agreement.


5. Rights and Obligations of the Parties

The Contractor undertakes to:

  • Provide services in accordance with agreed specifications, deadlines, and quality standards;

  • Maintain confidentiality of Client information;

  • Inform the Client of any circumstances that may affect timelines or service quality.

The Contractor has the right to:

  • Refuse service if the Client provides false or incomplete information;

  • Modify pricing or conditions for future projects with prior notice;

  • Suspend or terminate service in the event of non-payment or Client misconduct.

The Client undertakes to:

  • Provide accurate information necessary for service execution;

  • Timely pay for services as agreed;

  • Cooperate with the Contractor by providing approvals, materials, and access as needed.

The Client has the right to:

  • Receive complete and accurate information regarding provided services;

  • Request clarification or status updates during the service period.


6. Liability of the Parties

6.1. The Contractor is not liable for delays or performance issues resulting from factors beyond its control, including but not limited to force majeure, power outages, internet failures, or third-party delays.

6.2. The Client is responsible for the accuracy of information provided and the timely completion of payments.

6.3. Neither Party shall be liable for indirect, incidental, or consequential damages arising from this Agreement or use of the website.

6.4. In case of proven damages directly caused by the Contractor’s fault, compensation shall not exceed the total amount paid by the Client for the respective service.


7. Dispute Resolution

7.1. All disputes or disagreements arising from this Agreement shall be resolved through negotiations between the Parties.

7.2. If mutual resolution cannot be reached, disputes shall be settled in accordance with applicable law in the jurisdiction determined by the Contractor.

7.3. The Parties agree to use electronic communication (email correspondence) as valid evidence of transactions, approvals, and agreements.


8. Confidentiality and Data Protection

8.1. The Contractor processes Client data in accordance with the Privacy Policy published on the website.

8.2. All personal data provided by the Client are used solely for the purposes of fulfilling service obligations and maintaining communication.

8.3. The Contractor ensures appropriate technical and organizational measures to protect Client data from unauthorized access or misuse.

8.4. The Client consents to the collection and processing of personal information upon acceptance of this Agreement.


9. Other Terms

9.1. The Contractor may update or amend this Agreement at any time without prior notice. Updated terms become effective immediately upon publication on the website.

9.2. In all matters not regulated by this Agreement, the Parties shall be guided by applicable law and general business practices.

9.3. If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

9.4. This Agreement is concluded electronically and does not require physical signatures to be legally binding.
